About BMKP Law
BMKP Law practises pension, benefits and executive compensation law and nothing else, and it's the field every one of its lawyers has built a career around. The firm acts for the sponsors and administrators of large pension and benefits plans across Canada, in the private, public and broader public sectors, and it advises employers whose staff are spread across the country.
By September 2017 the firm was practising as Brown Mills Klinck Prezioso LLP, and it's known today as BMKP Law. Elizabeth Brown and Terra Klinck are among its founding partners. Terra Klinck is now managing partner, setting the firm's strategy and running its operations while keeping a full practice, and Elizabeth Brown was called to the Ontario bar in 1988. Other lawyers bring their own depth: Lindsay McLeod was a partner in another Canadian firm's pension group and spent time at a global firm in the U.K., and David Zhang has completed actuarial exams.
Chambers Canada 2027 again ranks BMKP Law in Band 1 for Pensions & Benefits, Legal 500 Canada 2026 again lists it as a Tier 1 pension practice, and Best Law Firms 2026 put it in Tier 1 for Employee Benefits Law in Toronto. Its lawyers also developed and taught a pension law course at Queen's University, and they're regular speakers at conferences in Canada and abroad.
The firm works from Suite 1005 at 130 Adelaide Street West, in Toronto's Richmond-Adelaide Centre, and partner Sean Maxwell is based in Calgary. BMKP Law keeps an e-mail list for its news and insights, and anyone with a question about an update is welcome to call one of its lawyers.
Practice areas
Pension governance, administration and compliance
BMKP Law reviews clients' pension governance in depth, looking at structure, policies and the people involved, and tests it against the law and industry practice. Its lawyers act for large Canadian financial institutions and sponsors with billions in pension assets, but they also take on small and mid-sized plans and fit the advice to each client's structure, needs and budget. Cary K. Wong, who has worked only in this field for over 25 years, drafts plan documents and member communications for compliance, design changes, reorganizations and deals.
Plan design, conversions and surplus
The firm designs funding and sustainability solutions for four kinds of plan: single-employer DB, multi-employer, target benefit and jointly sponsored. When it comes to using surplus, it works out agreements with unions and other groups of members, and for terminated DB plans it has helped sponsors win regulatory consent to surplus withdrawals, either by proving the sponsor's entitlement or through surplus sharing agreements with members.
Defined benefit de-risking
BMKP Law has handled every common de-risking route: annuity buy-ins and buy-outs, liability-driven delegated investment arrangements, mergers with other plans and full wind-ups. Terra Klinck has advised employers on buy-in and buy-out deals, including a series that moved over $2B of DB liabilities to Canadian insurers in 2023 and 2024.
Corporate transactions and restructurings
On M&A deals of every size, cross-border ones included, BMKP Law advises both buyers and sellers on the pension and benefits side. Its lawyers have also served as lead pension counsel on corporate restructurings, under the CCAA and outside formal court proceedings.
Litigation, advocacy and dispute resolution
The firm litigates for employers and plan administrators at trial and on appeal, in arbitration and mediation, and before the Financial Services Tribunal and other administrative bodies, and it also works as co-counsel alongside outside litigators. It defends employers and administrators against pension-related human rights claims at the Human Rights Tribunal of Ontario and the Canadian Human Rights Tribunal. Insolvency proceedings in which its lawyers have acted include Laurentian University (2021 to 2022), Stelco and Fraser Papers.
Pension investments
Plan administrators retain BMKP Law to negotiate and review their agreements with fund managers and investment consultants and to check that annuity policies protect them and the plan. The firm has helped administrators hand the chief investment officer role to an outside provider (OCIO) and helps clients keep up with ESG and responsible investing as that area of law develops.
Capital accumulation plans
For DC pension plans, group RRSPs, DPSPs and group TFSAs, the firm advises sponsors on compliance, including CAPSA's CAP and DC Guidelines. It recently helped a large professional association build a retirement program for its 40,000 members with a novel annuity purchase feature, and it has set up in-house decumulation vehicles such as customized RIF programs.
Executive compensation
Boards and senior management come to BMKP Law on incentive and equity plans for executives and other staff, including RSU, PSU and DSU plans. The firm also handles the compensation and tax pieces of executive offer letters and departure packages, and it advises broader public sector clients on how compensation restraint legislation affects pensions and benefits.
Employee and retiree benefits
The firm advises employers on running and changing group benefits for active staff and retirees, and on benefit buy-outs for both groups. It has completed large-scale benefit plan transitions that brought several separate arrangements together.
How BMKP Law works
BMKP Law works as part of a wider team. It partners with clients' consultants and actuaries and with their employment, corporate and litigation counsel, and for multinational private sector employers it draws on a network of Canadian, U.S. and international business lawyers to give cross-border advice. The firm's policy is to fit its advice to the client's industry or sector, goals and culture, and on every project it pairs the legal analysis with practical business advice tied to the client's broader aims.
