About Kelby Carter

Kelby Carter is a banking and insolvency partner with the Financial Services Group in Gowling WLG's Toronto office. Lenders and borrowers both turn to Carter for financing deals, whether they're domestic, cross-border or international. When a borrower runs into trouble, the work shifts to acting for receivers and secured creditors.

Carter was called to the Ontario bar in 2013, after a JD from the University of Western Ontario. That law degree followed political science studies at Guelph and Western, and Carter also picked up an LL.M. diploma in European and international law from Université Jean Moulin, Lyon 3. A 12-month secondment later put Carter inside a major Canadian bank as in-house counsel, which offered a firsthand look at how financial institutions actually operate.

Legal opinions are a real part of the practice. Carter represents the firm at the Toronto Opinions Group (TOROG) and belongs to it, sits on Gowling WLG's Opinion Committee, and reviews opinions as a partner in the firm's Lending Practice Group.

Outside the firm, Carter's active in the Turnaround Management Association and has been on its TMA NOW global committee since 2024, including the 2025 planning committee. Bankruptcy & Insolvency

Lending and finance

Carter represents lenders and borrowers on syndicated and bilateral loans, acquisition financing and asset-based lending. On one file, Carter acted for a group of Canadian lenders on the management buyout and refinancing of a household products company, with security taken over assets across North America, Europe and Australia.

Real estate and construction financing

Carter's lending files include real estate deals. Carter has acted for a lender syndicate funding the construction of a Toronto shopping mall, and for a large residential developer on several syndicated revolving credit facilities.

Insolvency and restructuring

Carter has represented a syndicate of lenders in the restructuring and refinancing of a Canadian retail conglomerate under the CCAA.
