He advises boards, corporations, and board committees on transactions, proxy contests, governance questions, and internal investigations, and he also acts for family enterprises in strategically important disputes. His securities litigation work covers contested transactions and regulatory investigations touching market timing, insider trading, options backdating, and disclosure obligations, along with class actions for issuers, underwriters, directors, officers, and trustees. He has appeared as counsel before the Court of Appeal, the Supreme Court of Canada, and the Ontario Securities Commission. Andrew has also taught securities regulation at the University of Toronto's law school for over a decade.
