About Jason Kroft

Jason Kroft heads the Structured Finance and Securitization Group at Gowling WLG in Toronto, and the practice is built around structured and specialized finance. The people Jason works for are a varied group: banks, investment and pension funds, governments and data centre operators among them, along with high-net-worth individuals, on both domestic and international files.

Called to the Ontario bar in 1999 and admitted in New York a year later, Jason had already spent 1997 and 1998 clerking for the justices of the Court of Appeal for Ontario. Earlier in practice, as a partner at Miller Thomson LLP in Toronto, Jason co-led that firm's structured finance and securitization practice and served as its co-chair of ESG and carbon finance. Gowling WLG brought Jason on as a partner in 2024 to lead a newly formed structured finance group, and the career now spans more than 25 years of corporate law.

Carbon finance, ESG and data centres sit right beside the finance work. Jason leads efforts in emissions trading, green bonds and sustainable-linked notes, and project developers, operators, lenders and traders in the carbon markets are regular clients. Jason also helps corporate boards, senior executives and the teams that manage risk shape and put in place strategy on data centre, ESG and carbon finance questions.

Teaching and writing have been part of the job too. Jason was an adjunct professor at Osgoode Hall Law School, where the courses covered business and legal topics, and has written and spoken on subjects that range from negotiation and mediation theory to responsible investing, green and sustainable finance, securitization and derivatives.
