About Ian Mitchell

Ian Mitchell is a Toronto partner at Gowling WLG whose capital markets practice serves companies in mining, energy, technology and digital assets. Clients come from every side of a deal: issuers and takeover targets, underwriters, dealers and advisers, and the special committees and independent directors who oversee a transaction. Ian is part of the firm's Mining Industry Sector Group and works with companies at any stage of development.

Called to the Ontario bar in 2004, Ian was a partner in the Corporate Law Practice Group at WeirFoulds LLP, concentrating on corporate finance and securities for public and large private companies. Cross-border work was already a theme there, and by 2015 Ian's recent files had reached Brazil, the US, the UK and Nigeria. That November Lexpert named Ian a Rising Star, its award for lawyers under 40. By July 2017 Ian had joined Gowling WLG as a partner.

In 2021 Ian was Gowling WLG's Canadian mining lead and wrote for Lexpert on battery metals and what their growth means for Canadian mining companies. By September 2024 Ian was appearing on BNN Bloomberg as the firm's head of mining to talk through the struggles Canada faces with critical minerals.

Practice areas

Raising capital

Ian handles public offerings and private placements, and has acted for Largo Resources Ltd. on a secured high yield note offering and on several equity financings, and as Canadian counsel to Canadian Solar Inc. when it sold common shares and convertible senior notes at the same time.

Listings, RTOs and securities compliance

Companies going public by reverse takeover or qualifying transaction, or seeking a stock exchange listing, can turn to Ian, who also advises on staying onside with securities regulators once listed.

Mergers and acquisitions

Ian acted for Honeywell on its 2016 acquisition of COM DEV International Ltd. by plan of arrangement, and for Cummins Inc. when it bought Hydrogenics Corporation in a cross-border deal.

Mining transactions

Mining deals include advising Karmin Exploration Inc. on its plan of arrangement with Nexa Resources S.A. and on selling Peruvian assets to VI Mining PLC, and acting for Minera Alamos Inc. on its purchase of Corex Gold and a joint venture and option deal with Vista Gold Corp. covering the Guadalupe de Los Reyes project.
