About Bryce Kraeker

Bryce Kraeker heads Gowling WLG's Capital Markets and Public M&A Practice Group in Canada, giving advice on corporate finance deals, mergers and acquisitions, and corporate governance. Companies issuing securities rely on Bryce when they raise money, and so do the underwriters on those offerings. With more than 25 years in practice, Bryce works out of the firm's Waterloo Region and Toronto offices.

Osgoode Hall granted Bryce an LLB in 1997, and the Ontario call followed in 1999. In 2002 Bryce spent time on secondment with the Ontario Securities Commission's Corporate Finance Department. Partnership at what was then Gowling Lafleur Henderson LLP came in 2007. From there Bryce took charge of business law in the Waterloo Region office in 2010, became the firm's national Business Law Practice Area Leader in 2013, and was named managing partner of the Waterloo Region office in 2015, later winning re-election to a four-year term. Bryce is now that office's past managing partner.

Governance questions come up often too. Bryce is regularly asked to weigh in on directors' duties and liabilities, governance policies and what a public company has to disclose. Recognition has followed: Bryce appears in the Canadian Legal Lexpert Directory and Best Lawyers in Canada, and made the Thomson Reuters Stand-out Lawyers lists for 2023 and 2024.

Away from deals, Bryce gave 15 years to the Kitchener-Waterloo Art Gallery's board, joining in 2010, serving as president in 2015 and 2017, and chairing it through the pandemic before stepping off in May 2025. Bryce also sat on the board of Mennonite Church Eastern Canada starting in 2009.

Debt and equity financings

Bryce acts on public and private offerings for issuers and underwriters alike, whether the money comes through a private placement, a prospectus or a bought deal. Past mandates include TD Securities as underwriter on bought deal financings for Firm Capital Mortgage Investment Corporation, NAV CANADA's public offerings of medium term notes, and a bought deal financing for InterRent REIT.

Public and cross-border M&A

Bryce handles clients' mergers and acquisitions from start to finish, in Canada and across borders. Representative matters include ATI Technologies on its acquisition by Advanced Micro Devices, Clean Harbors on its purchases of Eveready Inc. and Peak Energy Services Inc., and Macquarie on its acquisition of Gateway Casinos Income Fund.

Fund formation and registrant compliance

Canadian and international clients come to Bryce to set up limited partnerships and other fund structures, with asset classes such as real estate, infrastructure, private equity and venture capital. Bryce has helped a number of private equity funds raise capital in Canada and also advises dealers, advisers and investment fund managers on regulatory compliance.

Securities regulatory applications

In 2016 Bryce acted as counsel to tpSEF Inc., a swap execution facility registered in the United States, on its application asking the Ontario Securities Commission to exempt it from recognition as an exchange.
