About Counter Tax Litigators LLP

Counter Tax Litigators LLP is a Toronto law firm that works only on tax controversy and litigation, not tax planning. It's based on Alcorn Avenue in the city's Deer Park neighbourhood and represents private companies across Canada in significant disputes with the Canada Revenue Agency, including loss utilization following acquisitions, surplus extraction after a corporate reorganization, and valuation disputes that follow a reassessment.

Peter Aprile founded the firm in 2009. Aprile had practiced alongside tax litigator Richard Fitzsimmons, and Fitzsimmons' sudden passing led Aprile to start what became Counter Tax Lawyers. The firm later built its own tax-litigation strategy software, CounterPoint, and in 2022 it established the Canadian Institute for Tax Controversy Studies, a research arm that studies how Canada's tax dispute system is designed and governed. Four partners make up the team today, called to the Ontario bar between 2006 and 2020, and they appear before the Tax Court of Canada and the Federal Court.

The neighbourhood

The firm's office sits on Alcorn Avenue in Deer Park, a midtown Toronto neighbourhood that takes its name from an 1837 country estate the Heath family built at Yonge and St. Clair, complete with a racetrack and deer that roamed the property. The building at 10 Alcorn was constructed in the 1930s and previously housed two wholesale hardware companies before it was restored into office space in 1991. It shares the building with another law firm and a handful of small companies, rather than sitting inside a downtown office tower.
