About John

John Emanoilidis is a partner at Torys and co-head of the firm's M&A practice. His practice touches many areas, including complex mergers and acquisitions, transactional work, securities matters, private equity deals, regulatory issues, governance questions, shareholder activism, and compliance. He acts for acquirors on both sides of the border, private equity sponsors, acquisition targets, special committees, company boards, and investment banks across public and private M&A, including hostile bids, strategic reviews, spinoffs, proxy contests, going-private deals, and negotiated acquisitions. John also advises companies, directors, and shareholders on governance, crisis management, activism, and compliance issues, and he has substantial experience in corporate finance work for issuers, underwriters, and investors in both domestic and international offerings and private placements. He was elected a Fellow of the American College of Governance Counsel's 2021 class for his work advising boards and shareholders on governance practices. John teaches as an adjunct professor at the University of Toronto's law faculty, holds a fellowship and instructor role at the University of Ottawa's law faculty, and has guest lectured at Queen's University's law school. He previously sat on the Toronto Stock Exchange's Listing Advisory Committee and has served as editor-in-chief of the Canadian Institute's M&A/Corporate Financing Journal and as a contributing editor for two Federated Press publications on corporate financing and M&A.
