Gray, Whitley LLP is a small business and not-for-profit law firm on Yonge Street in Toronto, at the corner of Yonge and Lawrence. Partners Wayne D. Gray and R. Scott Whitley both spent years as senior lawyers on Bay Street before setting up a smaller practice built around corporate formation and maintenance, not-for-profit governance, and expert evidence in corporate and commercial disputes. The firm's own lawyers don't appear in court. Instead, litigation firms often retain them to advise on shareholder deadlock, disagreements among directors, and the transition of family-held businesses to the next generation or a new owner.
Wayne Gray had a hand in writing some of the law the firm now advises on, with leadership roles in the corporate law reform that produced the federal Canada Not-for-profit Corporations Act and Ontario's Not-for-Profit Corporations Act, 2010. Gray also chaired the Ontario Bar Association's Corporate Law Subcommittee from 2004 to 2012 and served as the Canadian Bar Association's delegate to the Uniform Law Conference of Canada from 2006 to 2013. Allen Doppelt, who joined the firm as counsel in 2017, spent more than 30 years with the Ontario government and helped draft that same Not-for-Profit Corporations Act along with the Securities Transfer Act, 2006.
