About Appleton & Associates

Appleton & Associates International Lawyers LP is a Toronto firm that works where international arbitration meets global trade and the digital economy. It acts for investors weighing their exposure under a treaty, for governments defending claims, and for other lawyers who need co-counsel on an international dispute. Established in 1994, the firm is led by its managing partner, Prof. Barry Appleton, whose work in international investment law covers more than three decades and now reaches into the new rules on digital trade, AI governance and data sovereignty.

Appleton was lead counsel in the first NAFTA Chapter 11 arbitration proceedings ever started, and in the first decisions they produced, which set precedents investor-state arbitration still follows. Since then, Appleton has acted for investors and for states under NAFTA, ICSID, UNCITRAL, CAFTA-DR and bilateral treaties. The firm's proceedings have taken it across North America, South America and Europe, and many of its mandates are confidential, so they don't appear among its published cases.

Appleton holds an LL.M. in international law from the University of Cambridge, a J.D. from Queen's University and a B.A. (Hons.) in international relations from the University of Toronto, and is a Fellow of the Chartered Institute of Arbitrators. Appleton is admitted in Ontario, New York and the District of Columbia, and before the U.S. Court of International Trade. The government side is part of the experience too: Appleton advised Ontario's Cabinet Committee on North American Free Trade while NAFTA was being negotiated, and has advised governments in Canada on NAFTA and the WTO, including on the defence of investor-state cases.

The firm practises from Suite 602 at 121 Richmond Street West in Toronto. A new international matter starts with an initial assessment from Prof. Appleton, and the office commits to reviewing each enquiry and replying, within a reasonable time, to those that present a potential mandate.

History

Appleton & Associates opened in 1994, the same year NAFTA came into force and the year Barry Appleton's book Navigating NAFTA: A Concise User's Guide to the North American Free Trade Agreement was published by Lawyers Cooperative Publishing / Carswell. By the end of 1996 the firm was providing international legal services from offices in both Toronto and New York City.

In early 1999 the Toronto office was in Suite 4400 of the Royal Trust Tower at the Toronto-Dominion Centre, and the New York office was at 950 Third Avenue. The practice then ranged from international trade, NAFTA law and arbitration to financial services regulation and alternative finance, and the firm acted for governments, Fortune 500 companies and non-governmental organizations as well as other businesses.

Practice areas

Investor-state arbitration

Investor-state arbitration is the firm's core practice, and it covers the whole life of a dispute, from structuring a treaty position before a dispute starts through the hearing, the award and its enforcement. That includes emergency arbitration and interim relief, enforcement in domestic courts, and annulment and set-aside proceedings. Disclosed matters include a Chapter 11 claim against Canada over national treatment in the courier and parcel-delivery market, and ICSID proceedings for a US investor arising from Argentina's 2001 financial crisis.

Prof. Appleton as arbitrator

Barry Appleton is available to sit as an arbitrator, alone or as a member of a tribunal, in international commercial and investor-state disputes. Commercial appointments can run under ICC, LCIA, AAA / ICDR or SIAC rules or ad hoc, and disputes over technology, IP or digital trade are within that scope.

International economic law

The firm advises governments and investors on the design of trade and investment agreements, with work spanning disputes before the WTO, the review of the USMCA-CUSMA and the drafting of bilateral investment treaties. Its counsel covers trade obligations, market access and subsidies, and the point where trade and investment law meet domestic regulatory policy.

Digital and intangible economy

Barry Appleton's digital work applies international investment, IP, digital trade and trade law to questions such as cross-border data flows, AI governance, payment rails and intangible assets. Matters include data sovereignty and cloud jurisdiction under the CLOUD Act, fintech under international law, protecting intangible assets under investment treaties, and the digital chapters of USMCA-CUSMA, CETA and newer FTAs.

Treaty counsel and dispute strategy

Before a dispute arises, the firm helps investors structure cross-border investments to get as much treaty protection as possible, gauge and reduce sovereign risk, and handle the political side of an investor-state conflict early. The work extends to environmental obligations and carbon markets, and to choosing the forum and the arbitral institution.

The neighbourhood

The office sits in Suite 602 of 121 Richmond Street West, a 12-storey mid-rise completed in 1957 that fronts both Richmond Street West and York Street in the Bay Street Corridor. Nathan Phillips Square and Cloud Gardens are among the parks close by.

The building takes up the small north-west corner of the block framed by Richmond, Adelaide, York and Sheppard streets. In 1999, when a new office tower for the Richmond-Adelaide Centre was proposed, almost all of that block formed the development site, and 121 Richmond Street West was the one property left out of it.
