About SMK Law

SMK Law is a small Toronto firm that represents investors in disputes with banks, investment firms, and public companies. Founder Soheil Karkhanechi holds a J.D. from Harvard Law School and a B.A. from the University of Toronto, and is licensed to practice in both Ontario and New York. Before founding the firm, Karkhanechi held senior positions at firms in Canada and the United States and built a financial technology company. The firm's office is on Yorkville Avenue in Toronto.

SMK Law says it was founded to address the legal needs of users of financial services, with the goal of evening the playing field between individual investors and the larger institutions they deal with. Its work spans securities class actions, disputes with banks and investment advisors, and conflicts arising from mergers, acquisitions, and contested corporate control. The firm has served as lead counsel in several proposed securities class actions and takes many individual investor matters on a contingency basis, meaning a client does not pay legal fees unless the case succeeds. Karkhanechi also sits on the board of directors of FAIR Canada, a national organization that advocates for individual investors.

The neighbourhood

SMK Law's office sits on Yorkville Avenue, in the part of Toronto known as Bloor-Yorkville. The area started out as a separate village north of the old city in the 1800s, went through a bohemian coffeehouse era in the 1960s, and later became one of the country's more exclusive shopping and business districts, home to the stretch of Bloor Street known as the Mink Mile. It's an unusual setting for an investor rights practice, tucked among galleries, boutiques, and financial and professional offices rather than the courthouse district further south, in a central location for clients coming from across the Greater Toronto Area for a meeting about a dispute with a bank, advisor, or public company.

Frequently asked questions

I think I lost money because a public company misled its shareholders. Can SMK Law help?
This is the firm's main focus. SMK Law represents shareholders in securities class actions over alleged misrepresentations, undisclosed conflicts of interest, and failures to disclose material risks, and it has acted as lead counsel in several such cases.
Does it cost anything to join a securities class action with SMK Law?
According to the firm, there's no upfront cost to the investor. In a securities class action, legal fees are paid by the defendant company once the case is resolved successfully, not by the individual investor.
My dispute is with my own bank or investment advisor, not a public company. Does SMK Law take that kind of case?
Yes. Separate from class actions, the firm handles individual disputes with banks, investment firms, and advisors, including allegations of fraud, breach of contract, and regulatory violations, and it can take many of these matters on a contingency basis.
Does SMK Law only work on Canadian investments?
No. The firm has a global investments practice for Canadians with legal problems tied to investments outside Canada, most often in the US market, and for investors abroad looking at Canadian investments. It says it can also draw on a network of international lawyers who focus on investment disputes.
How is SMK Law paid if I hire it for my own investor dispute?
The firm says it may take individual cases on a contingency basis, meaning a client generally does not pay legal fees unless the case ends in a favourable outcome.
Who runs SMK Law and what is the firm's background?
SMK Law was founded by Soheil Karkhanechi, a lawyer licensed in Ontario and New York with a J.D. from Harvard Law School, who previously held senior roles at firms in Canada and the United States before starting the practice.
