A business lawyer in Halifax helps companies form, operate, and protect themselves within the law. The everyday work includes incorporating a company, drafting shareholder and partnership agreements, reviewing leases and contracts, and handling the sale or purchase of a business. New companies are registered through the province's Registry of Joint Stock Companies, and when a commercial dispute reaches a courtroom it's heard at the Supreme Court of Nova Scotia, which sits at the Law Courts on Upper Water Street in downtown Halifax.

Most of this work never sees a courtroom. The value is often in the drafting and review, catching terms that would have cost you later. How do you incorporate a business in Nova Scotia?

You have two routes. You can incorporate federally under the Canada Business Corporations Act through Corporations Canada, which lets you operate under one name across the country, or provincially under Nova Scotia's Companies Act. Which one fits depends on where you'll do business and how you plan to grow.

Nova Scotia does one thing differently from most provinces. Instead of the articles-of-incorporation model used elsewhere in Canada, it uses a memorandum and articles of association, filed through the Registry of Joint Stock Companies. The memorandum sets out the company, and the articles set its internal rules. A lawyer prepares these documents, files the incorporation, and reserves the name first. That extra step is why many Fall River founders bring in a lawyer early rather than filling the forms alone.

What legal issues come up as a business grows?

Growth brings new paperwork. A company taking on a partner or an investor needs a shareholder agreement that sets out control, profit, and exit terms before there's any conflict. When a business changes hands, the lawyer runs due diligence, drafts the purchase agreement, and closes the deal.

Disputes are the other half of the job. If a contract breaks down or partners fall out, the matter can reach the Supreme Court of Nova Scotia, so it helps to have a lawyer who saw the risk coming. Good agreements cost less than litigation.
