Nicholas dePencier Wright is Wright Business Law's principal counsel, advising clients across Canada on securities law, private fund formation, and exempt market transactions. His practice covers the full lifecycle of private capital, from structuring new funds and drafting offering documents to ongoing regulatory compliance and fund operations. He regularly acts on the formation of private funds structured as limited partnerships, mutual fund trusts, real estate investment trusts, and mortgage investment corporations, and advises on offering memoranda, private placements under NI 45-106, and registrant compliance under NI 31-103. He also handles cross-border offerings involving US investors. Wright is licensed to practise in Ontario and Texas and is admitted, inactive, in California. He holds a JD and MBA from Dalhousie University, an LLM in Taxation from Osgoode Hall Law School, a BA (Honours) in Philosophy from King's College in Halifax, and a Diploma in Trusts and Estates from the Society of Trust and Estate Practitioners.
