About Corporate Counsel

Corporate Counsel Professional Corporation is a small corporate and securities law firm based in Vaughan, Ontario. It was founded in 2015 with the aim of offering business law expertise usually found at large national firms, but at more accessible rates. Since then it says it has grown to six lawyers and two support staff, working across more than 1,000 client files. Much of its corporate finance and public company compliance work is billed as a flat fee rather than by the hour, and the firm also uses reduced hourly rates on other matters.

The firm's work runs from start-up incorporations through financings, business purchases and sales, and ongoing in-house counsel support, and extends to compliance work for companies listed on Canadian stock exchanges. It also has a second office in Miami, staffed by a lawyer admitted to practice law in New York and Florida and a paralegal, that handles corporate and securities matters for its US-facing clients. One of the firm's partners previously served as Senior Legal Counsel in the Corporate Finance Branch of the Ontario Securities Commission, reviewing prospectuses and continuous disclosure documents before moving into private practice. Another lawyer at the firm sits as a director of the Canadian Securities Exchange and chairs its Regulatory Advisory Committee.
