Capiche Legal LLP is a small securities law firm in downtown Vancouver, with two partners, James Atherton and Mouane Sengsavang. The firm serves early-stage private companies and junior public companies active in Canada's capital markets, carrying clients from private company formation through to going public. Its practice covers stock exchange listings and listing maintenance, prospectus and exempt market financings (including Listed Issuer Financing Exemption offerings), reverse take-overs, qualifying transactions and capital pool company work on the TSX Venture Exchange, along with corporate governance and continuous disclosure compliance.

Atherton has more than twenty years of corporate and securities law experience at national and regional firms and has served as an executive and director of a Toronto Stock Exchange-listed issuer. Sengsavang's licence to practice isn't limited to one province: bar admission in British Columbia dates to 2005, with Alberta following in 2006 and Ontario in 2012. Sengsavang has also served as a director, audit committee member, compensation committee member, and corporate secretary of TSX Venture Exchange-listed issuers, giving the firm direct, inside experience with how public company boards and governance committees operate.
